Agreeing to these terms

These Terms of Service form an agreement between you and Kairos Ventures, the sole proprietorship that operates ProfitPath AI, based in Centerville, Massachusetts, USA. When these terms say "ProfitPath AI," "we," "our," or "us," they refer to Kairos Ventures and the ProfitPath AI platform. When they say "you" or "your," they refer to the person or business using the platform.

By creating an account, subscribing to a plan, or using ProfitPath AI in any way, you agree to these terms. If you do not agree with them, please do not use the platform.

What ProfitPath AI is

ProfitPath AI is a profit planning platform built for small business owners. It helps you enter your business figures, such as revenue, pricing, job costs, and overhead, and turns them into clear profit scenarios and insights, including guidance from our AI advisor, Coach Rev.

ProfitPath AI gives you clear, CFO level insight into your numbers so you can plan with confidence and know what to do next. Just as a company with a CFO still works with an accountant and a lawyer, ProfitPath AI is built to work alongside your professionals, not to replace them. It does not provide accounting, tax, legal, or licensed investment advice, so for those specific needs, please rely on a qualified professional.

Creating an account

To use most features of ProfitPath AI, you need to create an account. When you do, please:

• Give us accurate and complete information
• Keep your login details private and secure
• Let us know right away if you think someone else has accessed your account without permission

You must be at least 18 years old and authorized to act on behalf of your business to create an account. You are responsible for all activity that happens under your account.

Subscriptions and billing

ProfitPath AI offers different subscription plans, each with its own features and price. When you subscribe:

• You agree to pay the subscription fees for the plan you choose
• Fees are billed in advance on a recurring basis, based on the plan you select
• Payments are processed securely through our payment provider
• You can cancel your subscription at any time from your account settings

If a payment does not go through, we may pause access to paid features until it is sorted out, and we will let you know so you have a chance to update your details.

Subscriptions are billed in advance for access to the platform, so fees already paid are generally not refundable. That said, if something has gone wrong on our end, please reach out. We want you to feel good about ProfitPath AI, and we will do our best to make it right.

We may change our subscription plans or pricing from time to time. If a change affects your current plan, we will let you know in advance.

Using the platform responsibly

Please use ProfitPath AI fairly and lawfully. While using the platform, you agree not to:

• Use it for any unlawful purpose or in a way that breaks applicable laws
• Try to access another user's account or data without permission
• Copy, resell, or redistribute the platform or its content without our written consent
• Interfere with the platform's security, performance, or normal operation
• Reverse engineer or attempt to extract the underlying source code of the platform
• Upload harmful code or content, including viruses or malicious scripts

If the platform is misused in these ways, we may suspend or close the account. Where possible, we will reach out first, so an honest mix up can be sorted out quickly.

Coach Rev and AI generated insights

Coach Rev is our AI advisor, built to help you understand your profit scenarios and offer suggestions based on the numbers you provide. Coach Rev's insights are generated automatically and are meant to support your own judgment, not replace it.

Connecting QuickBooks Online

By connecting QuickBooks Online, you authorize ProfitPath to retrieve your last 12 months of Profit & Loss data via Intuit's official OAuth integration. ProfitPath stores the connection credentials and summarized P&L data needed to generate your reports and recommendations. We do not access your full transaction history or store your QuickBooks login credentials. You may disconnect QuickBooks at any time from your account settings, which revokes our access.

Who owns what

ProfitPath AI, including its design, features, software, and the Coach Rev name and persona, belongs to Kairos Ventures. These terms do not give you ownership of any part of the platform. You may not copy, modify, or create derivative works from it without our written permission.

The business figures and information you enter into ProfitPath AI remain yours. We do not claim ownership over your business data.

What we can promise

We are committed to keeping ProfitPath AI accurate, reliable, and genuinely useful, and we improve it every day. At the same time, we want to be upfront with you: like any software, the platform is provided on an "as is" and "as available" basis, so we cannot promise it will always be perfect, free of errors, or available without interruption.

ProfitPath AI is a planning tool, so we cannot guarantee a specific profit or financial result from the platform or from any suggestion Coach Rev makes. Your outcomes depend on your own decisions and many factors beyond the platform. What we can promise is that we will keep improving the tool and supporting you along the way.

Our responsibility to you

We stand behind ProfitPath AI. Like most software services, we also keep a few clear limits on our legal liability, and we want to be upfront about what they are.

To the fullest extent allowed by law, Kairos Ventures and ProfitPath AI are not liable for indirect, incidental, or consequential damages that arise from your use of the platform, such as lost profits or lost business opportunities. If a claim ever does come up, our total liability is limited to the amount you paid us in the 12 months before it arose.

Nothing here removes any right you have that cannot be limited under applicable law.

Account deletion

You may cancel your account at any time. Upon cancellation, your account is deactivated immediately. If you would like your data fully deleted rather than retained for potential reactivation, email us at [email protected] and we will complete deletion, including revoking any connected QuickBooks credentials, within 30 days, subject to the backup retention period described in our Privacy Policy.

Changes to these terms

We may update these Terms of Service from time to time. When we do, we will update the "Last updated" date at the top of this page, and we will email you if the changes are significant. By continuing to use ProfitPath AI after an update, you accept the revised terms.

Governing law

These terms are governed by the laws of the Commonwealth of Massachusetts, USA, without regard to its conflict of law principles. Any disputes arising from these terms or your use of ProfitPath AI will be handled in the courts located in Massachusetts, unless applicable law requires otherwise.
